Enhancing Edge AI and Industrial IoT Solutions: Lantronix Acquires Vecima Networks Inc.'s Industrial IoT Business

Lantronix Inc., a global provider of Edge AI and Industrial IoT solutions, has announced its agreement to acquire Vecima Networks Inc.'s industrial IoT business, including the Nero Global Tracking software-as-a-service platform. This acquisition is expected to enhance Lantronix's edge hardware and connectivity portfolio by adding a proven SaaS application layer, expanding its critical infrastructure monitoring vertical, and increasing its recurring-revenue IoT solutions. The transaction is set to close in the near term, subject to customary closing conditions.

The acquisition will bring $5.3 million in total revenue, including $4.5 million of annual recurring revenue (ARR) and approximately 125,000 asset tags under management with gross margins in the high-60% range to Lantronix. This move will also boost Lantronix's Software & Services mix to more than 10% of total company revenue, aligning with the company's strategy of focusing on higher-margin, recurring-revenue solutions.

Saleel Awsare, President and CEO of Lantronix, emphasized that the acquisition aligns with the company's platform strategy, moving towards solutions that combine edge hardware, connectivity, and software capabilities. By integrating Nero Global Tracking's SaaS application layer, Lantronix aims to provide more customized firmware, optimize device behavior, and address customer-specific use cases in industrial IoT environments. This strategic move is expected to enhance Lantronix's value proposition, increase customer retention, and open up opportunities in critical infrastructure and industrial IoT markets.

Nero Global Tracking offers GPS-based vehicle and asset tracking solutions to various industries in North America. By combining Nero Global Tracking with Lantronix's gateways, edge compute, and connectivity products, Lantronix aims to strengthen its hardware-plus-recurring-revenue model and provide integrated solutions for fleet operators, municipalities, restoration contractors, and industrial asset monitoring.

Customers and channel partners of Nero Global Tracking can expect continuity in service, support, and product roadmap as the approximately 30-person IIoT team will join Lantronix. This acquisition will enable Lantronix to offer a more comprehensive, end-to-end solution to customers, leveraging its expertise in hardware, connectivity, and application software.

In conclusion, the acquisition of Vecima Networks Inc.'s industrial IoT business, including Nero Global Tracking, marks a significant step for Lantronix in expanding its portfolio, enhancing its recurring-revenue streams, and strengthening its position in critical infrastructure monitoring and industrial IoT markets. This strategic move underscores Lantronix's commitment to delivering innovative solutions that meet the evolving needs of its customers and drive growth in key verticals.
